4. SUBSCRIBER OBLIGATIONS

• Be responsible for all activity under the account
• Use strong passwords and enable two-factor authentication if available

### Acceptable Use Subscriber agrees to use the services only for lawful purposes and in accordance with this Agreement and our Acceptable Use Policy.

Prohibited Uses:

• Violating any applicable laws or regulations
• Infringing intellectual property rights
• Uploading malware, viruses, or harmful code
• Attempting to gain unauthorized access to systems
• Interfering with service operation or other users
• Using services to send spam or unsolicited communications
• Engaging in fraudulent activity
• Reselling or sublicensing services without authorization
• Reverse engineering or decompiling software
• Exceeding usage limits or quotas

### User Responsibilities

• Provide accurate account information
• Update contact and billing information promptly
• Comply with usage limits and restrictions
• Back up own data regularly
• Report technical issues or bugs

5. COMPANY OBLIGATIONS

### Service Delivery Company shall:

• Provide access to subscribed services
• Maintain service functionality and performance
• Provide technical support as specified
• Notify Subscriber of scheduled maintenance
• Use commercially reasonable efforts to ensure service availability

### Uptime Guarantee

6. DATA AND PRIVACY

### Data Ownership

• Subscriber retains all rights to data uploaded to the service
• Company does not claim ownership of Subscriber data
• Subscriber grants Company license to host and process data to provide services

### Data Use Company will:

• Process data only to provide subscribed services
• Maintain data confidentiality
• Implement appropriate security measures
• Comply with applicable privacy laws
• Not sell or rent Subscriber data to third parties

7. INTELLECTUAL PROPERTY

### License Grant Company grants Subscriber a limited, non-exclusive, non-transferable license to:

### Restrictions Subscriber may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile
• Remove proprietary notices
• Use for service bureau or commercial resale
• Transfer or sublicense without consent

### Subscriber Content

• Subscriber retains all rights to content uploaded
• Subscriber responsible for ensuring rights to use content
• Subscriber warrants content does not infringe third-party rights

8. USAGE LIMITS

### Account Limits

### Overage

9. SUSPENSION AND TERMINATION

• Suspected fraudulent or illegal activity

• Court order or legal requirement

Notice: Company will provide notice of suspension when possible, except for security or legal reasons.

Reinstatement: Upon cure of issue and payment of fees, service will be reinstated.

### Termination by Subscriber

• Cancel anytime through account settings or by contacting us
• Cancellation effective: End of current billing period/Immediately
• No refunds for unused portion (unless stated otherwise)
• Access continues until end of paid period

### Termination by Company Company may terminate for:

• Material breach not cured within Number days
• Repeated violations
• At convenience with Notice period notice
• Immediately for cause

### Effect of Termination Upon termination:

• Access to services ceases
• Data available for export for Number days
• Outstanding fees due and payable
• Provisions regarding confidentiality, IP, and liability survive

10. WARRANTIES AND DISCLAIMERS

• Authority to enter this Agreement
• Will comply with Agreement terms

### Disclaimer EXCEPT AS EXPRESSLY PROVIDED, SERVICES PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

COMPANY DOES NOT WARRANT:

• Uninterrupted or error-free operation
• Services will meet all requirements
• All errors will be corrected
• Services are free from harmful components

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Exclusion of Damages:

NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

Liability Cap:

COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY SUBSCRIBER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR \$MINIMUM AMOUNT, WHICHEVER IS GREATER.

Exceptions:

Limitations do not apply to:

• Gross negligence or willful misconduct
• Death or personal injury
• Fraud
• Violations of intellectual property rights
• Breaches of confidentiality
• Matters that cannot be limited by law

12. INDEMNIFICATION

### By Subscriber Subscriber shall indemnify Company from claims arising from:

• Subscriber's use of services
• Subscriber's content or data
• Violation of this Agreement
• Violation of third-party rights
• Violation of applicable laws

### By Company Company shall indemnify Subscriber from third-party claims that services infringe intellectual property rights.

### Indemnification Process Indemnified party must:

• Promptly notify indemnifying party of claim
• Allow indemnifying party to control defense
• Cooperate in defense
• Not settle without indemnifying party's consent

13. CONFIDENTIALITY

### Confidential Information Both parties agree to protect:

• Any information marked confidential

### Obligations

• Use only for Agreement purposes
• Protect with reasonable security measures
• Not disclose to third parties without consent

• Is publicly available
• Was known before disclosure
• Is independently developed
• Must be disclosed by law

14. GENERAL PROVISIONS

### Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

### Amendments

• Company may modify Agreement with Notice period notice
• Material changes require acceptance
• Continued use after changes constitutes acceptance
• Subscriber may terminate if disagree with changes

### Assignment

• Subscriber may not assign without written consent
• Company may assign to affiliates or successors
• Agreement binds successors and permitted assigns

### Governing Law This Agreement governed by laws of Jurisdiction, without regard to conflict of law principles.

### Dispute Resolution

• Disputes resolved through good faith negotiation
• Mediation in Location if negotiation fails
• Binding arbitration under rules of Arbitration Association
• Each party bears own costs unless otherwise awarded

### Class Action Waiver Disputes resolved individually. No class actions or representative proceedings.

### Severability If any provision is invalid or unenforceable, remaining provisions remain in full effect.

### Waiver Failure to enforce any right is not a waiver of that right.

### Force Majeure Neither party liable for delays due to causes beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
