4. EXCLUSIONS

- Was known to the Receiving Party prior to disclosure
- Is independently developed by the Receiving Party
- Is rightfully received from a third party
5. TERM
This Agreement shall remain in effect for from the date of signing.
6. REMEDIES
The parties acknowledge that breach of this Agreement may cause irreparable harm and that monetary damages may be inadequate. The Disclosing Party shall be entitled to seek injunctive relief.
