6. RESTRICTIONS AND PROHIBITED USES

Licensee may NOT:

• Use music in connection with:

Pornographic or adult content Tobacco or vaping products Political campaigns or endorsements Illegal activities or products Discriminatory or hate-related content Other prohibited associations

• Claim authorship or ownership of music
• Register music with performing rights organizations in Licensee's name
• Sample or excerpt music for use in other works (without separate license)
• Sublicense to third parties (without permission)
• Use music to create competing music library
• Use in manner that damages Licensor's reputation
• Remove or alter copyright notices

7. OWNERSHIP AND COPYRIGHT

### Copyright Retention Licensor retains all ownership and copyright in the musical composition and master recording. This Agreement grants only the specific rights listed; all other rights reserved.

### Copyright Notice Licensee shall include proper copyright notice: © Year Copyright Owner. All Rights Reserved.

### Performing Rights

• Musical composition registered with: ASCAP/BMI/SESAC/Other
• Licensee responsible for obtaining performance licenses from PROs for public performances
• Master recording rights separate from composition rights

8. REPRESENTATIONS AND WARRANTIES

### By Licensor

Licensor represents and warrants:

• Owns or controls all rights in the licensed music
• Has full authority to grant this license
• Music does not infringe third-party rights
• Music is original or properly licensed from third parties
• No outstanding claims or litigation concerning the music
• Will pay all required royalties to composers, performers, and publishers

### By Licensee

Licensee represents and warrants:

• Has authority to enter this Agreement
• Will use music only as authorized
• Project will not violate any laws
• Will comply with all terms of this Agreement
• Will obtain all necessary additional rights (sync rights if Licensor only controls master, etc.)

### Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, MUSIC LICENSED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

9. CLEARANCE AND RIGHTS

10. CUES AND MODIFICATIONS

11. INDEMNIFICATION

### By Licensor Licensor indemnifies Licensee against claims that licensed music infringes third-party copyrights or other rights.

### By Licensee Licensee indemnifies Licensor against claims arising from:

• Licensee's use of music beyond scope of license
• Content of Licensee's project
• Violation of this Agreement
• Unauthorized modifications

12. LIMITATION OF LIABILITY

LICENSOR'S TOTAL LIABILITY LIMITED TO LICENSE FEES PAID BY LICENSEE.

NEITHER PARTY LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. TERMINATION

### Term This license effective from Date and continues for duration specified in Section 3 or until terminated.

### Termination for Breach Either party may terminate if other party materially breaches and fails to cure within Number days of written notice.

### Effect of Termination Upon termination:

• Licensee must cease using music
• Distributed copies may: Remain in market Must be recalled
• Fees paid are non-refundable
• Licensee must provide accounting of units distributed

### Survival Provisions regarding indemnification, limitation of liability, and confidentiality survive termination.

### Dispute Resolution Disputes resolved through binding arbitration in Location.

### Assignment Licensee may not assign without written consent. Licensor may assign to successors or affiliates.

### Relationship Parties are independent contractors.

### Severability Invalid provisions severed; remaining provisions remain in effect.
