4. USAGE RIGHTS AND LICENSE

Prohibited Uses:

Without separate agreement, voice may not be used for: Adult/pornographic content Political campaigns Controversial products (tobacco, alcohol, firearms) Uses that may harm Talent's reputation

Use beyond original scope requires additional payment:

5. REVISIONS AND CHANGES

### Client Approval Client has Number business days to review and request revisions. After approval or Number days, recording considered accepted.

### Pronunciation/Performance Talent makes reasonable effort to match requested pronunciation and style. Minor variations in performance are acceptable and not grounds for non-payment.

6. CREDITS AND ATTRIBUTION

On-Screen/Audio Credit:

Demo Reel/Portfolio:

7. TECHNICAL REQUIREMENTS AND QUALITY

### Recording Quality

• Professional broadcast quality
• Clear, clean audio free from background noise
• Proper gain levels (no clipping or distortion)
• Consistent audio quality throughout

### Talent's Equipment (for home studio recordings) Talent represents having:

• Professional microphone: Mic type/model if specified
• Treated recording space/booth
• Audio interface and recording software
• Ability to deliver to specified technical requirements

### Quality Control Client may reject recording if:

• Technical quality is substandard (noise, distortion, etc.)
• Performance does not match agreed direction
• Pronunciation errors despite guidance

Talent will re-record at no additional charge if quality issues are Talent's fault.

8. CLIENT RESPONSIBILITIES

Client agrees to:

• Provide final script by Date
• Provide clear direction and pronunciation guides
• Respond to delivery within Number business days
• Provide timely feedback on revisions
• Make payment according to schedule
• Obtain all necessary music/sound effect licenses separately

9. TALENT RESPONSIBILITIES

Talent agrees to:

• Deliver professional quality recordings
• Meet delivery deadlines
• Follow client direction and script
• Provide specified file formats
• Maintain confidentiality if required
• Be available for revisions/pick-ups during Timeframe
• Provide consistent availability for ongoing projects

10. CANCELLATION

### Cancellation by Client

• More than Number days before session: Full refund/Deposit forfeited
• Number days or less: Percentage% of fee owed
• After recording begins: Full fee owed

### Cancellation by Talent If Talent cannot perform due to illness or emergency:

• Notice provided as soon as possible
• Deposit refunded
• Assistance finding replacement talent
• No further liability

### Project Abandoned If Client does not provide script or abandons project after Number days:

• Deposit non-refundable
• Talent released from obligations

11. UNION MEMBERSHIP

Talent is is not a member of SAG-AFTRA/Other union

If union member:

• This contract must comply with union rules
• Client responsible for union fees and residuals
• Separate union contract may be required

12. REPRESENTATIONS AND WARRANTIES

### By Talent

• Has right and ability to enter this agreement
• Voice recording will be original performance
• Has necessary equipment and skills (for home studio)
• No conflicts with other agreements

### By Client

• Has right to produce the project
• Will use voice only as authorized
• Will pay agreed compensation
• Has obtained all other necessary rights (music, video, etc.)

### Disclaimer VOICE RECORDING PROVIDED "AS IS." TALENT MAKES NO WARRANTIES REGARDING CLIENT'S ULTIMATE SUCCESS OR MARKET RESPONSE TO PROJECT.

13. INDEMNIFICATION

### By Talent Talent indemnifies Client if third party claims Talent's recording infringes their rights.

### By Client Client indemnifies Talent against claims arising from:

• Client's use of recording beyond licensed rights
• Content of script/project (defamation, etc.)
• Client's failure to obtain necessary rights
• Combination of voice with other content

14. LIMITATION OF LIABILITY

TALENT'S TOTAL LIABILITY LIMITED TO FEES PAID UNDER THIS AGREEMENT.

NEITHER PARTY LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

15. AI AND VOICE SYNTHESIS

Important Provision:

Client may may not use Talent's voice for AI voice modeling, synthesis, or cloning

If permitted:

• Additional fee: \$Amount
• Scope of AI use: Limitations
• Duration: Timeframe
• Talent approval required for AI-generated content: Yes/No

WITHOUT EXPRESS WRITTEN PERMISSION, CLIENT MAY NOT USE RECORDINGS TO TRAIN AI, CREATE VOICE MODELS, OR GENERATE SYNTHETIC SPEECH.

16. GENERAL PROVISIONS

### Entire Agreement This Agreement constitutes entire agreement between parties.

### Amendments Changes must be in writing signed by both parties.

### Governing Law Governed by laws of State/Country.

### Dispute Resolution Disputes resolved through: 1. Good faith discussion 2. Mediation 3. Binding arbitration in Location

### Independent Contractor Talent is independent contractor, not employee.

### Assignment Neither party may assign without written consent.

### Force Majeure Neither party liable for delays due to events beyond reasonable control.
